What is Deep Fission’s business? 

Deep Fission is revolutionizing the energy landscape with innovative technology that places a small modular pressurized water reactor in a borehole one mile underground. Founded and led by a team of seasoned scientists, engineers, and entrepreneurs, the Company is committed to delivering safe, reliable, and affordable low-carbon power at scale. Deep Fission was recently selected for the Department of Energy’s new Reactor Pilot Program and is targeting criticality by July 2026. Where is Deep Fission incorporated? 

Deep Fission is incorporated in the U.S. state of Delaware.

Is Deep Fission Inc. a public company?

Yes, on September 5, 2025, Deep Fission, Inc. (“Legacy Deep Fission”) completed a type of alternative public offering (APO) commonly referred to as a “reverse merger” with Surfside Acquisition Inc. (“Surfside”), a public “shell corporation.”  As a result of the transaction, Legacy Deep Fission changed its name to Deep Fission Nuclear, Inc. and became a wholly owned subsidiary of Surfside, which changed its name to Deep Fission Inc. (“Deep Fission”).  Going forward, Deep Fission will be subject to the public reporting requirements under the Securities Exchange Act of 1934, as amended. 

Was Surfside a “shell corporation,” and did Deep Fission go public through a SPAC?

Yes. Surfside was a “shell corporation” that was formed with the sole purpose of merging with or acquiring a private company and did not conduct business operations prior to the merger with Legacy Deep Fission.  However, unlike a traditional special purpose acquisition company (SPAC), Surfside did not conduct an initial public offering of its securities or list its securities on a national securities exchange and its capital raising activities prior to the merger were primarily limited to funding its legal, accounting and public reporting expenses. 

Did the Company raise any capital as part of the reverse merger?

Yes. In connection with, and immediately following the closing of the reverse merger, Deep Fission also raised $30 million through a PIPE (Private Investment in Public Equity).
